Fractic Website - Terms of Use

This policy applies to the public fractic.io website and related web pages (not the mobile apps).

Effective date: August 14, 2025.

These Terms of Use (“Terms”) govern your use of the Fractic website and any content we publish (the “Site”). By continuing to use the Site, you accept these Terms. If you do not agree, don’t use the Site.

1) Who We Are & Scope

These Terms are a contract between Fractic Inc. (“Fractic”, “we”, “us”) and you (“you”). They cover everything on the Site: pages, blogs, docs, images, design, and any other content we host here.

2) Age

You confirm you are at least 14 years old. If you’re under 14, don’t use the Site.

3) Your Use of the Site (License)

We grant you a limited, non-exclusive, revocable, non-transferable license to view Site content for personal, non-commercial use.

You may not, without our written permission:

• Copy, reproduce, modify, adapt, translate, create derivative works from, distribute, or publicly display Site content outside the Site.
• Bulk-download or mirror Site content.
• Remove proprietary notices (copyright, trademarks, watermarks).

Third-party content on the Site may have its own licenses. Follow those too.

4) Content Reliability

We build carefully, but content may be inaccurate, incomplete, or outdated. The Site is provided “AS IS” and “AS AVAILABLE.” If you spot an issue, email legal@fractic.io with details.

5) Third-Party Links

Links to other sites are for convenience. We don’t control them and aren’t responsible for their content, policies, or security. Your use of third-party sites is your call.

6) Prohibited Use

Don’t do any of this:

• Scraping / automated access: crawling, harvesting, scraping, or bulk requests (bots, headless browsers, scripts) without our written OK or where disallowed by robots.txt.
• Security abuse: hacking, probing, bypassing access controls, or reverse-engineering except where a law expressly allows.
• Service disruption: introducing malware; DDoS; overloading infrastructure.
• Illegal acts: using the Site to violate laws or third-party rights.
• Impersonation / spam: pretending to be someone else; mass messaging; posting others’ personal data.

We monitor misuse and enforce these Terms.

7) Newsletter & Accounts (If Any)

• Your email only. Don’t subscribe other people.
• You can unsubscribe via the link in the email.
• If we offer accounts on the Site: keep your info accurate and your credentials secure. You’re responsible for activity in your account.

8) Access, Changes, and Uptime

• We can change, suspend, or discontinue any part of the Site at any time.
• We don’t guarantee uptime or speed. Outages happen.
• Events outside our control (e.g., ISP issues, power failures, natural disasters) are not our responsibility.

9) IP Ownership

Unless stated otherwise, Fractic owns the Site and its content (text, code, design, graphics, logos, images, and look & feel). All rights not expressly granted are reserved.

To request permission to use our content, email legal@fractic.io with specifics (what you want to use, where, duration).

10) Feedback

If you send us ideas or suggestions, you grant us a non-exclusive, perpetual, worldwide, royalty-free, irrevocable license to use them in any way. No obligation to credit or pay you.

11) Warranties, Disclaimers & Liability

To the maximum extent permitted by law:

• The Site is provided “AS IS” and “AS AVAILABLE.”
• We disclaim all warranties, express or implied, including accuracy, non-infringement, merchantability, and fitness for a particular purpose.
• No indirect damages. We’re not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, data, or goodwill.
• Liability cap. Our total liability for claims arising out of or related to the Site or these Terms is capped at the total amounts you paid to Fractic for the Site in the 12 months before the claim (usually ₩0).

Nothing here limits liability that cannot be limited under Korean law.

12) Indemnity

You will indemnify and hold Fractic harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Site, violation of these Terms, or infringement of third-party rights, to the extent permitted by law.

13) Access Restrictions & Termination

We may restrict or terminate your access for violating these Terms, harming the Site, or for legal/compliance reasons. Where appropriate, we’ll give reasonable notice; for serious violations, immediate action.

14) International Use; Law & Forum

The Site is globally accessible but may not be lawful everywhere. You’re responsible for local compliance.

• Governing law: Laws of the Republic of Korea (without regard to conflict-of-law rules).
• Jurisdiction/venue: Exclusive jurisdiction in Seoul, e.g., Seoul Central District Court.

15) Changes to These Terms

We won’t push pop-ups. The current version is always linked in the Site footer. Continuing to use the Site after changes means you accept the updated Terms. If you don’t, stop using the Site.

16) Miscellaneous

• Severability: If any part is invalid, the rest stays in effect.
• No waiver: Not enforcing a right isn’t a waiver.
• Assignment: You can’t assign these Terms. We can assign them to an affiliate or as part of a merger, acquisition, or asset sale.
• Entire agreement: These Terms are the entire agreement about the Site.
• Language: We may provide translations. If there’s a conflict, the Korean-law-compliant version governs.
